1. Acceptance
By accessing or using QistPay (the “Service”), you agree to these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts & Roles
QistPay supports role-based access (e.g., Owner/Admin, Analyst/Read-only). You are responsible for safeguarding credentials and for all activity under your account. You must keep your business profile, branch settings, and regulatory information accurate and up to date.
3. Orders, Installments & Jobs
- Orders & Schedules: You may create orders comprised of one or more items, configure advances, installment amounts, due dates, durations, and optional penalties/discounts.
- Partial Payments: The system supports partial and early payments; allocation rules may be configured (e.g., oldest due first, fees before principal).
- Compliance: You are solely responsible for the accuracy, legality, and enforceability of order terms provided to your customers.
4. Collections & Field Operations
- Assignments: Managers can assign jobs to one or more collectors/agents. Assignments include customer details, address/geolocation (if provided), and visit notes.
- Cash Handling: If you allow cash collections, you are responsible for reconciliation, deposit controls, and loss prevention. QistPay provides logging tools but does not insure cash.
- Conduct: You must ensure agents comply with applicable laws and fair collections practices; harassment or unsafe conduct is strictly prohibited.
5. Data & Privacy
Personal data is processed as described in our Privacy Policy. You must have a lawful basis to process your customers’ data and must provide any required notices and consents.
6. Acceptable Use
No unlawful activity, harassment, deception, or attempts to circumvent security. Do not access data you are not authorized to view, scrape at abusive rates, or interfere with the platform.
7. IP & Ownership
QistPay, its software, UI, and brand are our intellectual property. You retain all rights to your input data and customer records. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.
8. Warranties
The Service is provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Liability
To the extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to QistPay in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Service Levels & Support
- Availability: We target commercially reasonable uptime; planned maintenance may occur with notice.
- Support: Standard support via email; higher tiers may include chat/phone per plan.
- Updates: Features may evolve; legacy features can be deprecated with reasonable notice.
11. Suspension & Termination
- Suspension: We may suspend access for non-payment, suspected fraud/abuse, legal risk, or security concerns.
- Termination: Either party may terminate for convenience per plan terms or for cause upon breach not cured within a reasonable period after notice.
- Post-Termination: We may retain data for legal/audit obligations; you may request export of your data within the window stated in our Privacy Policy or data-retention policy.
12. Records & Audit Logs
The Service may record audit trails of key actions (e.g., order creation, schedule edits, assignment changes, payment postings). Audit logs are informational and should be used alongside your accounting controls.
13. APIs, Webhooks & Integrations
- Access: API keys are confidential. You are responsible for usage under your keys.
- Reliability: Webhooks are delivered on a best-effort basis with retries; you must build idempotent receivers.
- Third-Party Apps: Integrations are provided “as is.” QistPay is not responsible for third-party outages or data handling.
14. Notices & Communications
We may send notices via in-app messages or email to your admin email. You are responsible for keeping contact details current and for monitoring system alerts.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of your contracting entity’s jurisdiction (to be specified in your order form or master agreement), without regard to conflicts of law principles. Venue and jurisdiction will lie in the courts of that location.
